Terms of Service
1Agreement & Acceptance
These Terms of Service ("Terms") form a binding agreement between you ("you," "the Customer") and Unity Institute Inc., operating as Unity Institute ("Unity Institute," "we," "us," "our"). They govern your purchase and use of any product, program, course, membership, digital material, or advisory or consulting service we offer (collectively, the "Offerings").
By checking the acceptance box at checkout, completing a purchase, or accessing any Offering, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not complete your purchase or use the Offerings.
2Definitions
- "Offering" means any course, program, cohort, membership, digital download, event, workshop, diagnostic, or advisory or consulting service we provide.
- "Content" means all materials we make available, including videos, documents, frameworks, templates, tools, worksheets, recordings, and live instruction.
- "Platform" means our websites, our Kajabi-hosted portal, and any related delivery systems.
3Eligibility
You must be at least 18 years of age and able to form a legally binding contract to purchase an Offering. Where an Offering is designed for a minor (for example, youth programs), it must be purchased and supervised by a parent or legal guardian, who accepts these Terms on the minor's behalf. You represent that the information you provide at purchase is accurate and complete.
4Our Products & Services
Our Offerings are educational and developmental in nature. They may be delivered as self-paced digital content, live or facilitated cohorts, memberships, downloadable materials, live events, or advisory and consulting engagements. We may modify, update, or discontinue an Offering, or its features and content, at any time. Where an Offering is described with specific modules, sessions, or deliverables, we will provide those as described for the version you purchased.
5Pricing, Taxes & Payment
Prices are shown at checkout in Canadian dollars (CAD) and are exclusive of applicable taxes unless stated otherwise. You are responsible for all applicable Canadian taxes, including GST, HST, PST, and QST, which will be added where required by law. You authorize us and our payment processor to charge your selected payment method for the total amount shown, including taxes and any agreed instalments. If a payment is declined or reversed, we may suspend your access until the amount owing is paid.
6Payment Plans & Subscriptions
Where a payment plan is offered, enrolling in the plan is a commitment to pay the full price of the Offering across the scheduled instalments, regardless of how much of the Offering you use. Where an Offering is sold as a recurring subscription or membership, you authorize recurring charges at the stated interval until you cancel. You may cancel future renewals at any time through your account or by contacting us; cancellation stops future charges but does not, unless required by law or stated otherwise, refund amounts already charged. Instalment obligations already incurred remain payable.
Where available, eligible customers may use Klarna, a third-party payment service, to divide a qualifying purchase into multiple monthly payments. Klarna financing is available only for purchases made in Canadian dollars, applies only to qualifying purchases of up to $2,000 CAD, and is subject to Klarna approval and the separate terms, conditions, fees, and policies established by Klarna. Unity Institute Inc. does not control Klarna eligibility decisions, payment schedules, fees, or account administration.
7Access & Delivery
Digital Offerings are typically delivered through the Platform promptly after purchase or, for cohort programs, at the stated start date. Access is personal to you and non-transferable. Where we provide access "for the life of the program" or for a stated period, we will use reasonable efforts to maintain that access, but we do not guarantee indefinite availability of any specific Content, feature, or third-party integration.
8Refunds & Cancellations
Because our Offerings deliver digital intellectual property and immediate access, the refund terms below apply unless a different policy is expressly stated for a specific Offering at the point of purchase, in which case that stated policy governs.
- A Customer may request a refund within 7 days of purchase, provided they have not completed or accessed more than 10% of the Content or one module lesson, whichever is greater, and have completed or submitted any required work where a “do the work” condition applies.
- Live events, cohort seats, diagnostics, and advisory engagements may be refundable up to 2 days before the stated start date.
- Amounts already invoiced under a payment plan remain payable even after access ends, except where otherwise required by law or expressly agreed in writing.
Certain consumers may have non-waivable statutory cancellation or cooling-off rights under applicable Canadian provincial consumer-protection law. Nothing in these Terms limits any right that cannot legally be waived. To request a refund, contact us at [email protected].
9No Guarantee of Results
Our Offerings provide structure, education, tools, and guidance. We do not guarantee any specific outcome, including any financial, business, health, performance, or personal result. Any examples, testimonials, case references, or figures are illustrative only and are not a promise or projection of what you will achieve. Your results depend on your own effort, decisions, and circumstances.
10Not Professional Advice
Our Offerings are educational and developmental. They are not therapy, counselling, addiction treatment, medical or mental-health care, crisis intervention, legal advice, or financial, investment, tax, or accounting advice, and they do not create any professional-client relationship of that kind. We do not diagnose, treat, or manage any condition. For matters requiring a licensed professional, consult one. If you are in crisis, contact local emergency services or a crisis line in your area.
11Intellectual Property & Licence
All Content and Offerings, and all associated trademarks — including Applied Human Transition™, Clarity Protocol™, EXOS™, and AXIS™ — are owned by Unity Institute or its licensors and are protected by intellectual-property laws. Upon purchase, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Content for your own individual development for the duration of your access.
You may not copy, record, reproduce, resell, sublicense, distribute, publicly share, or create derivative or competing works from the Content, and you may not use it to train any machine-learning or artificial-intelligence system, without our prior written consent. Any coaching, teaching, or commercial use of our frameworks requires a separate written agreement.
12Acceptable Use & Conduct
In any cohort, community, event, or shared space, you agree to conduct yourself with respect and to refrain from harassment, discrimination, abusive behaviour, or sharing other participants' confidential disclosures. We may remove Content, restrict participation, or terminate access for conduct that breaches these Terms or harms other participants, our staff, or the integrity of the program.
13Advisory & Corporate Engagements
Corporate cohorts, workshops, diagnostics, retainers, and advisory or consulting engagements may be governed by a separate written agreement, statement of work, or proposal. Where such a signed agreement conflicts with these Terms, the signed agreement governs for that engagement. Advisory deliverables are recommendations and analysis; implementation, decisions, and results remain the client's responsibility.
14Third-Party Services
We deliver and operate our Offerings using third-party providers, including Kajabi (hosting and checkout), payment processors, scheduling, email, and communication tools. Your use of those services may be subject to their own terms. We are not responsible for the acts, omissions, availability, or content of third-party services, and payment-card data is handled by our payment processor, not stored by us.
15Suspension & Termination
We may suspend or terminate your access to an Offering if you breach these Terms, fail to make a required payment, or engage in conduct that harms the program or others. On termination for breach, no refund is owed except where required by law. You may stop using the Offerings at any time; sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.
16Disclaimer of Warranties
To the fullest extent permitted by law, the Offerings and Content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Offerings will be uninterrupted, error-free, or will meet your expectations. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
17Limitation of Liability
To the fullest extent permitted by law, Unity Institute and its owners, staff, facilitators, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Offerings or these Terms. Our total aggregate liability for any claim arising out of or relating to an Offering will not exceed the amount you paid for that Offering in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
18Indemnification
You agree to indemnify and hold harmless Unity Institute and its owners, staff, facilitators, and partners from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your misuse of the Offerings or Content, your breach of these Terms, or your violation of any law or the rights of a third party.
19Dispute Resolution
Before starting any formal proceeding, you agree to first contact us and attempt in good faith to resolve the dispute informally within 30 days.
Any unresolved dispute will be brought exclusively in the courts of Alberta, and the parties submit to the jurisdiction of those courts.
20Governing Law
These Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict-of-laws principles. Mandatory consumer-protection rights that cannot lawfully be excluded or waived remain in effect.
21Changes to These Terms
We may update these Terms from time to time. The version and effective date shown at the top indicate the current version. Material changes will apply to purchases made after the updated Terms take effect; your continued use of an Offering after an update constitutes acceptance of the revised Terms.
22General
These Terms, together with the Privacy Policy and any Offering-specific terms or signed agreement, are the entire agreement between you and us regarding the Offerings. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
